Qualifying Criteria for a Cipc/Cipro Company Registration

Cipc/Cipro Company Registration Online

1. A valid South African identity document/passport. *

2. You must be a least 18 years old.

3. You must a physical street and postal address in South Africa.

4. You must not be disqualified as per the companies act to be a director of a company.

* South Africans must apply with their ID document.
* Foreign nationals need apply with their passport number and date of birth.

We’ll also require a sworn affidavit stating that you do not have a SA ID number. Once we start with the registration process we’ll send you the sworn affidavit form to complete, sign and stamp.

How to Apply Online to Register a Company

1. Select and complete the online company application registration form below.

2. We’ll send you an email with payment details. Make payment for R975 which include all services and costs for the company name reservation and the incorporation of the company. We use the short standard form for a new company registration at the Cipc/Cipro.

3. Sign the document and the directors form we’ll send you and return both signed forms with certified copies of all directors ID’s, which must not be older than 2 months.

4. We’ll lodge all documents (COR9.1, COR14.1 COR14.1A, COR15.1A, DIRECTORS CONSENT FORM, Etc) with the Cipc. The company will be registered and we’ll send you the company registration document (COR14.3). This registration document can be used to open a business bank account.

5. All new companies registered at Cipc/Cipro will also automatically be registered with SARS and the company tax number will also be emailed to you.

6. Companies must annually submit annual returns to Cipro/Cipc to keep the company in business. We’ll send you a reminder when this is due.

Need to confirm your Bee Level…

Any entity with an annual revenue less than R 10 million qualify as an Exempt Micro Enterprise (EME).

All start-up and new registered companies qualify as an Exempt Micro Enterprise (EME).

 - Level 1 issued if black ownership is 100%.

 - Level 2 issued if black ownership is 51% or more.

 - Level 4 issued if black ownership is less than 51%.

The definition “Black” includes African, Indian & Colored South African Citizens who became SA citizens before 27 April 1994.

Bee affidavits are now required as per B-BBEE Codes of Good Practice Government Gazette No 36928
Bee certificates are no longer used for any Exempt Micro Enterprise Entities, except if the fall in a sector charter.

The definition of "black people" is a generic term which means Africans, Coloreds and Indians :-

a) who are citizens of South Africa by birth or descent, or

b) who became South African citizens by naturalization

before 27 April 1994; or; on or after 27 April 1994 and who would have been entitled to acquire citizenship by naturalization prior to that date.

Such a person may have a valid work permit in South Africa, but must not be recognized as “black” or benefit from Bee. Neither are their children, unless the parent is “black” by definition.
